1. Who we are and who CEnIQ is for
CEnIQ is a compliance and governance platform operated by CEnIQ Ltd (“CEnIQ”, “we”, “us”).
CEnIQ is offered only for companies, organisations and professional users, including sole traders and entrepreneurs using it in the course of their trade, business, craft or profession. It is not intended for purely personal/consumer use.
By creating an account, placing an order or using CEnIQ, you confirm you are acting for business or professional purposes and agree to the full Terms.
2. What CEnIQ does – and does not do
We provide:
Platform Services – AI‑enabled tools, workflows, dashboards, simulations and knowledge resources for compliance and governance.
Consultation and support – help to identify gaps, design processes and documentation, and support bookkeeping and filing preparation.
We do not:
provide legal, tax, accounting, auditing, investment, regulated financial or other professional advice;
act as solicitors, accountants or other regulated professionals;
represent you with HMRC, Companies House, the FCA, the ICO or any other authority; or
guarantee that use of CEnIQ will keep you compliant or prevent regulatory action.
You must obtain your own independent professional advice where needed.
3. Your key responsibilities
You are responsible for:
Customer Data – the information and documents you upload (it must be lawful, accurate and you must have the right to use it).
Reviewing Outputs – AI‑generated and other outputs are for information only and may be incomplete or inaccurate. You must review and validate them before relying on or implementing them.
Compliance and use – using CEnIQ in a way that complies with your legal, regulatory and contractual obligations.
Account security – keeping log‑ins secure and notifying us of any unauthorised access.
You must not misuse CEnIQ (for example, by breaking the law, infringing rights, attempting unauthorised access, introducing malware or using it to build a competing service).
4. Fees and payment (if applicable)
Where you pay for CEnIQ:
Fees are set out in your order or agreement.
Unless otherwise agreed, invoices are payable within seven (7) days of the invoice date.
Fees are in GBP (£) and exclude VAT and other applicable taxes.
Fees are generally non‑refundable except where expressly stated.
If undisputed invoices are not paid on time, we may charge interest and suspend access after notice.
5. AI, warranties and risk
CEnIQ uses AI and automation. Because of the nature of AI:
Outputs may be inaccurate, incomplete or outdated.
They are not a substitute for human judgement or professional advice.
You remain solely responsible for checking, approving and using any AI‑generated content.
The Services are provided on an “as is”, “as available” basis. We do not guarantee that CEnIQ or any output will be error‑free, suitable for your particular needs, always available, or deliver any specific compliance or business outcome.
6. Limitation of liability (business users)
For business and professional users:
We have no liability for regulatory or enforcement actions, fines, penalties or remedial measures imposed on you arising from your use of, or reliance on, CEnIQ or any output.
We exclude certain types of loss (for example, loss of profits, business, data, and indirect or consequential loss) to the fullest extent permitted by law.
Our total aggregate liability to you is capped at the greater of:
the total fees you paid to CEnIQ for the Services in the 12 months before the event giving rise to the claim; and
£10,000.
Nothing in the Terms removes liability where it would be unlawful to do so (for example, for death or personal injury caused by negligence, or for fraud). If, despite our B2B focus, you are treated as a consumer, your mandatory consumer rights remain unaffected.
7. Data protection and law
We handle personal data in line with UK data protection law. Our Privacy Policy explains what data we collect, how we use it (including use of Framer, IONOS, Perspective, Microsoft 365 and Stripe), and your rights.
The full Terms are governed by English law, and disputes are subject to the courts of England and Wales.
